1. Introduction

WhenAvailable LLC ("WhenAvailable") provides an event scheduling service where you can quickly and easily find which dates and times work best for your event among the group of people you are inviting.

These Terms apply to your access to and use of the WhenAvailable website (whenavailable.com) and the WhenAvailable mobile applications (iOS and Android) (collectively, the "Service").

If you do not understand or agree with these Terms of Service, please do not use the Service. By installing, accessing, or using the Service, you agree to comply with and be bound by the following terms and conditions, which together with our Privacy Policy govern WhenAvailable LLC's relationship with you.

2. Definitions

The following terminology applies to these Terms and Conditions, Privacy Statement and Disclaimer Notice and any or all Agreements:

  • "Client", "You" and "Your" refers to you, the person accessing the Service and accepting the Company's terms and conditions.
  • "The Company", "Ourselves", "We", "Us", and "WhenAvailable" refers to WhenAvailable LLC.
  • "The Service" refers to the website (whenavailable.com), the mobile applications (iOS and Android), and any related services provided by WhenAvailable LLC.
  • "Party", "Parties", or "Us" refers to both the Client and ourselves, or either the Client or ourselves.

Any use of the above terminology or other words in the singular, plural, capitalization and/or he/she or they, are taken as interchangeable and therefore as referring to same.

3. Account Management & Termination

You are responsible for maintaining the confidentiality of your account login information and are fully responsible for all activities that occur under your account.

A. Account Deletion

You may request to delete your account at any time. To ensure the security of your data and authenticate your identity, all requests for account deletion must originate from the email address currently associated with the account.

B. Termination by Us

We reserve the right to suspend or terminate your account or access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

4. Subscriptions and Payments

Some parts of the Service are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis (such as monthly or annually), depending on the type of subscription plan you select.

  • Automatic Renewal: Your Subscription will automatically renew at the end of each billing cycle unless you cancel it or we cancel it. You may cancel your Subscription renewal either through your online account management page or by contacting our customer support team.
  • Refunds: While paid Subscription fees are generally non-refundable, we evaluate refund requests on a case-by-case basis. Refunds may be granted at the sole discretion of WhenAvailable LLC.

5. Prohibited Conduct

By using the Service you agree not to post anything, or otherwise make available, through the Service:

  • That is or may be unlawful, threatening, defamatory, fraudulent, indecent, or pornographic;
  • That is protected by copyright without the express prior consent of the owner of such right;
  • That would give rise to criminal or civil liability;
  • That is or may be a virus, worm, Trojan Horse, or any other computer code that is harmful or invasive;
  • That is unsolicited or unauthorized advertising, "junk mail," "spam," "chain letter," etc.;
  • That could interfere with or disrupt the operation of the Service.

You also agree not to attempt to gain unauthorized access to the Service, its servers, or any associated database. Unauthorized use of this Service may give rise to a claim for damages and/or be a criminal offence.

6. User Content

You acknowledge that all materials, whether publicly posted or privately transmitted, are the sole responsibility of the person from whom such materials originated. You understand that by using the Service, you may be exposed to materials that are offensive, indecent or objectionable.

Under no circumstances will we be liable in any way for any materials, including, but not limited to, for any inaccuracies, errors or omissions in any materials, or for any loss or damage of any kind incurred as a result of the use of any materials posted, emailed or otherwise transmitted via the Service.

The use of this Service is subject to the following terms of use:

  • Service Availability: Every effort is made to keep the Service up and running smoothly. However, WhenAvailable LLC takes no responsibility for, and will not be liable for, the Service being temporarily or permanently unavailable.

8. Third-Party Links

Through this Service you are able to link to other websites which are not under the control of WhenAvailable LLC. We have no control over the nature, content and availability of those sites. The inclusion of any links does not necessarily imply a recommendation or endorse the views expressed within them. We have no responsibility for the content of the linked website(s).

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the state and federal courts located in Santa Clara County, California for any actions for which the parties retain the right to seek injunctive or other equitable relief in a court of competent jurisdiction.

10. Changes to Terms

WhenAvailable LLC reserves the right to amend these Terms of Service at its sole discretion. Any modifications shall be effective immediately upon posting on the Service.
